Representative Experience

  • Served as public finance counsel for major Midwestern Catholic health system that needed to borrow more than $350 million to finance, refinance and reimburse the cost of health facilities across multiple states. Performed corporate due diligence, assisted in the preparation of an offering statement and negotiated key finance terms that ultimately facilitated a closing within three months.
  • Counseled Merchants Automotive Group, one of the nation’s largest commercial vehicle lessors and fleet managers, in a syndicated credit facility and sale of senior and subordinated notes. Closed deal with Bank of America, the agent and joint lead arranger for a 12-bank syndicate, and Teachers Insurance and Annuity Association, which purchased private placement notes, in transactions worth more than $1 billion.
