Overview

Rebecca assists clients with corporate deals and transactions, with a particular focus on highly regulated and emerging industries.

Rebecca is a collaborative problem solver who excels at guiding individuals through complex systems and projects. She quickly realized that this made her an ideal fit for a corporate and transactional practice, where she would work closely with client teams to structure mergers and acquisitions that would meet their business needs.

While Rebecca began her legal career working primarily with private equity firms across a variety of industries, she focuses her current practice on food systems, especially the emerging cannabis space. Fascinated by the intersection of law and policy, Rebecca earned her undergraduate degree in public policy and is enthusiastic about supporting clients in such heavily regulated industries. An externship at the Environmental Protection Agency gave her an inside view on how broadly policies and rules can affect companies, and she’s passionate about helping clients work within legal requirements to grow their businesses. Rebecca particularly enjoys assisting clients in emerging and highly regulated industries as they navigate ever-changing and increasingly complex regulations.

With a strong background in mergers, acquisitions, and private equity fund formation, Rebecca handles a variety of corporate transactions for clients in the financial services and food systems industries and beyond. Known for her collaborative skills and her approachability, Rebecca also provides support for general corporate legal needs, and she advises clients on regulatory compliance.

Drafted and negotiated key transaction documents in connection with private equity acquisitions and sales ranging from $6 million to $2.5 billion across numerous industries, including manufacturing, sports and entertainment, and healthcare.
Drafted and negotiated side letters and partnership agreements on behalf of fund sponsors in private equity fund formations ranging from $125 million to $1.5 billion.
Advised private equity clients and their portfolio company executives on corporate governance, incentive equity, and compliance matters, as well as the structuring and operation of their private equity funds and management companies.

Outside the Office

Rebecca has been an avid golfer since high school and loves working on her game. She also enjoys yoga, trying new restaurants, and simply spending time with friends and family.

Rebecca has participated in the Highwind Impact Fund, a venture-philanthropy nonprofit founded by young professionals raising money and partnering with local nonprofits in the communities where they work and live.
