Whether clients are forming, growing or governing businesses, Megan assists in the corporate deals and transactions necessary to move forward.

A corporate attorney, Megan focuses her practice on helping clients of all sizes – from emerging startups to international corporations – establish, grow and protect business. Although she works with clients across all sectors, particular areas of counsel include cannabis and data privacy.

Megan provides individualized solutions to clients with a broad array of contracts including licensing agreements, consulting agreements and service agreements. She drafts and updates formation documents including articles of organization, operating agreements, certificates of incorporation, bylaws, shareholder agreements, and management and shareholder consents. Megan develops and updates customized compliance guidelines for quickly changing marijuana regulations in multiple jurisdictions. Further, she facilitates closings of business combinations by ensuring completion of letters of intent, asset purchase agreements, loan agreements, promissory notes, consents, certificates and other required documentation.

She also advises clients on privacy compliance planning, which encompasses cybersecurity measures as well as drafting privacy policies and developing privacy frameworks to drive compliance. She’s a frequent author and speaker, and regularly contributes to the firm’s Byte Back blog. Megan assists clients with various consumer privacy laws including:

  • European Union (EU) General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act of 2018 (CCPA)
  • Gramm-Leach-Bliley Act (GLBA)
  • Biometric Information Privacy Act (BIPA)

In addition to general privacy counsel, Megan assists clients with contractual agreements including terms and conditions, consulting and professional services agreements.
