Overview

Maria comes to the practice of law with a strong interest in business.

As a student, Maria was drawn to both the legal and business fields, with an instinct that she would prefer the latter. She chose to pursue graduate degrees in both with the goal of using her legal knowledge to further a business career. However, Maria soon discovered that she was fascinated by the problem-solving nature of the law, and she flipped her career plans on their head, choosing instead to be an attorney who works as a resource and partner to businesses.

Today, Maria represents clients during mergers, acquisitions and other corporate transactions, counseling companies on all aspects of transactional matters. She has experience with lower middle market, venture capital, private equity and small business transactions, as well as experience advising emerging and existing companies on corporate structure, financing and governance. Fascinated by how organizations function, Maria loves diving deep into an organization and deep into a transaction, determining the best way to deliver a finished product that meets strategic needs and moves the client forward.

Maria is known for her ability to speak and understand the language of clients and strives to be a resource for clients. She readily grasps the issues on clients’ plates, and she communicates legal nuance in a manner that clients can easily connect with. With a gift for building long-term relationships, Maria enjoys working on multiple transactions and projects for the same clients over many years.

  • Drafted and negotiated purchase agreements, financing documents, associated ancillary documents and disclosure schedules and conducted due diligence for lower middle market, venture capital, private equity and small business transactions.
  • Advised, as outside general counsel, various startup organizations and solo entrepreneurs on appropriate corporate structure or restructuring, entity formation, capital raising methods including private offerings and private lending, day-to-day legal needs and succession planning.
  • Drafted and negotiated membership interest purchase agreements, asset and stock purchase agreements, contribution agreements and associated ancillary documents for transactions in a variety of industries, including healthcare, real estate technology, financial advisory services and hospitality.
Outside the Office

Maria is an avid reader and podcast listener, especially of true crime and personal development podcasts. She’s also the owner of a very energetic German Shepherd named Hobey whom she loves to spend time with.

When she has time away from the office, Maria enjoys trying new restaurants, traveling to new places and appreciating the gorgeous mountain scenery near her home in Denver.
