Overview

Kim is a senior paralegal who has assisted clients and attorneys with all stages of corporate transactions and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activity.

Kim has assisted on a wide variety of corporate and transactional matters for clients in the automotive, hospitality and manufacturing industries, among others, including providing support in complex mergers and acquisitions involving domestic and international transactions.

She has extensive contracts management experience, working directly with clients to facilitate the contracting process from inception to completion, including interacting with companies, vendors and governmental agencies.

Kim’s notable experience includes:

  • Worked directly with attorneys and clients on closings and corporate transactions. Assisted with pre- and post-closing due diligence.
  • Assisted in preparing corporate documents required to form corporations (both business and not-for-profit), partnerships and limited liability companies.
  • Assisted in preparing documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and limited liability companies.
  • Prepared stock certificates and maintained stock records.
  • Prepared, organized and managed corporate records, including meeting minutes, corporate resolutions and filings.
  • Drafted, edited, reviewed and distributed board minutes, resolutions and agendas.
  • Prepared, organized and maintained closing books.
  • Conducted Uniform Commercial Code searches and filings, including amendments and terminations.
  • Coordinated the completion and filing of SS-4 Forms with the Internal Revenue Service to obtain Employee Identification Numbers.
  • Coordinated the preparation, filing and administration of charitable organization registrations and renewals in multiple jurisdictions.
  • Reviewed legal documents, including agreements, contracts, pleadings and briefs.
  • Obtained and managed medical records and other investigative discovery in personal injury claims, including preparation and filing of documents with Medicare.
  • Prepared and coordinated filing and service of litigation documents in federal and state court, including pleadings, discovery requests and responses, and affidavits.
  • Served as contracts manager for clients overseeing contracting process from initiation to completion, including IRU agreements, co-location agreements, fiber capacity agreements, business services agreements, right-of-entry agreements and subcontractor agreements.
