Overview

Ethan is an energy lawyer who advises clients on corporate and commercial transactions, serving as a strategic advisor throughout the business lifecycle.

He brings a rare combination of litigation, Big Law transactional practice, and in-house counsel experience in the energy sector, enabling him to evaluate deals through both a legal risk and business execution lens.

Ethan began his career in litigation, developing a strong foundation in dispute strategy and risk analysis that continues to inform his transactional work and drafting. He later practiced at a global law firm, advising high-growth technology companies and investors on venture and debt financings, mergers and acquisitions, and complex commercial agreements, supporting clients from formation through growth-stage transactions and strategic exits.

Most recently, Ethan served as in-house counsel to a vertically integrated waste and energy company, where he supported commercial, regulatory, operational, and corporate governance matters. In that role, he gained firsthand experience aligning legal advice with business priorities, deepening his understanding of how companies assess risk, balance competing considerations, and engage external counsel. He now draws on that perspective to provide guidance that is both legally rigorous and practical for in-house legal and business teams.

Ethan takes a context-driven approach to complex matters, focusing not only on contract terms but also on the commercial and historical background in which agreements are negotiated. This allows him to better assess how provisions will operate in practice and to translate legal language into meaningful business implications for clients.

In House

  • Supported the $285 million divestiture of the Wheelabrator South Broward Inc. waste-to-energy facility in Fort Lauderdale, Florida, between WIN Waste Innovations and FCC Environmental Services.
  • Represented WIN Waste Innovations in its negotiations with a renewable energy developer on the planning and construction of both behind-the-meter and front-of-the-meter solar projects at various locations across Massachusetts and Maine.
  • Managed the legal components and negotiations of WIN Waste Innovations' renewable energy credit portfolio across its energy-producing assets along the eastern seaboard of the U.S.

As External Counsel

  • Represented a leading carbon-capture and manufacturing company on its day-to-day legal needs, as well as its $10 million Series A financing, corporate restructuring, and $50 million Series AA financing.
  • Represented a cutting-edge company developing clean, zero-waste processes for supplying critical minerals such as magnesium metal, nickel, and cobalt for North American energy, defense, transportation, and advanced manufacturing industries for its everyday corporate legal needs and throughout a $5 million convertible note financing and $30 million Series A financing.
  • Represented a market-defining mental health technology platform on its general corporate and commercial legal needs, as well as its $15 million Series A financing, $75 million Series B financing, and the initial closing of its $88 million Series C financing.
Outside the Office

Ethan can often be found exploring new destinations with his husband and their 15-pound Cavapoo, an adorable and surprisingly seasoned frequent flier who has become an essential travel companion. They enjoy trading Boston winters for warmer weather in Bonita Springs, Florida, and spending summer weekends in Provincetown, the vibrant seaside community at the very tip of Cape Cod. Ethan is also a recreational pianist, having recently returned to a hobby he enjoyed throughout his childhood.
