Overview

Bruce provides practical legal counsel to financial institutions and other middle market companies in the areas of corporate, securities, M&A transactions, and regulatory matters. A member of the Financial Services & Capital Markets industry group, he practices from San Antonio via our Link virtual office.

Clients rely on Bruce’s guidance and experience on a wide array of matters, such as mergers, acquisitions, business expansions, debt and equity securities offerings and complex financing transactions. With nearly two decades of experience, Bruce also brings extensive knowledge of federal and state banking laws and regulations, assisting clients with regulatory applications, examinations, formal and informal enforcement actions, and regulatory compliance matters. In addition, Bruce often serves as the first point of contact for clients who may not have in-house legal resources for corporate governance, capital and strategic planning, contract negotiation, cybersecurity and data privacy, and other general business matters. He also frequently advises and assists investor groups in connection with platform acquisitions, as well as boards of directors, management teams, and shareholders on matters involving fiduciary duties, ownership succession, executive compensation, and director and officer liability issues.

When questions arise, Bruce is ready to provide answers, drawing on the resources of a full-service firm to connect clients with the right support for any legal need. Known for providing thoughtful and clear advice, Bruce takes time to fully understand each client’s business with the aim of addressing legal matters in a way that fits their unique goals and operations. Clients appreciate his ability to simplify complex issues and provide steady guidance, whether facing a major transaction or managing day-to-day legal matters.

Prior to practicing law, Bruce earned a degree in finance and worked in commercial banking, giving him a unique perspective on the financial services industry. From this experience, he understands the importance of building personal relationships, and it is the relationship-based nature of his practice that Bruce enjoys the most.

Bruce is an active member of the banking community and a frequent speaker and attendee at conferences held by the Independent Bankers Association of Texas, Southwest Association of Bank Counsel, and Texas Bankers Association.
