Ben represents businesses across multiple industries in commercial transactions, including mergers and acquisitions, recapitalizations, securities offerings, and other corporate finance transactions. He has served as the lead associate on several notable matters, including the sale of a family-owned cheese manufacturer to a private equity buyer, the sale of a hydraulic cylinder company to a private equity buyer, and the sale of a food transport equipment manufacturer to a strategic buyer. Ben also collaborates with businesses on a day-to-day basis, providing commercial contract, corporate governance, and entity formation counsel.
Ben has amassed an impressive track record assisting banks, bank holding companies, and other financial institutions on a range of transactional and regulatory matters, including bank holding company formations, capital raises and private securities offerings, mergers, acquisitions, and branch purchases. His regulatory work includes matters involving the FDIC, OCC, Federal Reserve, and state regulators.
Ben’s financial services transactions work includes the acquisition of a bank holding company by independent investors (and the associated capital raise), representation of $2 billion bank in its acquisition of a bank holding company and several branch acquisitions, representation of a bank holding company in the acquisition of a bank under a consent order (including navigating the regulatory applications and approval process), and representation of a credit union in the formation of a credit union service organization.
