National law firm Husch Blackwell represented Pine Creek RNG, an independent developer, owner, and operator of renewable natural gas (RNG) production assets, in the disposition of a minority equity interest in five operating RNG production facilities located in Illinois, Iowa, Utah, and Washington to Constellation (Nasdaq: CEG), the largest producer of clean energy in the U.S. and a leading supplier of energy products and services.
The portfolio produces approximately 1.5 million MMBtus of RNG per year, and the transaction creates the framework for Constellation and Pine Creek RNG to develop approximately 3 million MMBtus annually of additional RNG production.
“We're grateful for the collaboration and support the Husch Blackwell team provided throughout the transaction. Their deep understanding of both the legal and commercial realities of the RNG industry were instrumental in helping us navigate such a pivotal transaction,” said Kevin Orchard, Chief Executive Officer of Pine Creek RNG.
The Husch Blackwell team was led by partners Andrew Eastman and Allan Williams and included attorneys Brittney Beetcher, Doug Jones, and Jacob Stephens.
