At Husch Blackwell, we help clients navigate every stage of energy and infrastructure project finance. We represent renewable energy developers, data centers, biofuel producers, sponsors, lenders, and investors, covering the full range of project finance needs, including construction loans, term loans, and tax equity financing.

Our debt financing work includes structuring and negotiating non-recourse and limited recourse project and acquisition debt, as well as advising on construction loans, term loans, tax-equity bridge loans, and development credit facilities. We facilitate construction-to-permanent and long-term refinancing arrangements, and we have experience working with major lenders and financial institutions on both syndicated and bilateral loan facilities.

When it comes to tax equity financing and tax equity investments, we work with all structures and stay updated on new ones. We work with clients using both Clean Energy Production Credit and Clean Energy Investment Credit incentives. We structure partnership flips—both yield-based and fixed-flip—and also advise on inverted leases, sale-leasebacks, and tax credit transfers.

Our Project Finance attorneys support the development, construction, and acquisition of energy assets across the board, and we are especially active in solar, energy storage, wind, and biofuels. Our reach extends nationwide, and we work closely with our firm’s local counsel teams to provide local counsel representation to clients across the U.S.

We’re also part of one of the largest renewable energy law teams in the country. Our firm has a deep bench covering real estate, environmental and permitting, project contracts (such as EPC agreements, PPAs, and equipment procurement agreements), project acquisition and sale, and tax credit transfer as well as state and federal regulatory, and federal and state tax matters—making it easy for clients to move quickly with Husch Blackwell handling the full scope of project legal needs.

  • Represented a developer in approximately $159 million construction loan financing for 112MW wind farm in Michigan. 
  • Represented a developer in approximately $162 million construction loan financing for 88MW wind farm in Pennsylvania. 
  • Represented a developer in approximately $150+ million of debt and tax equity financing for several solar projects across four states totaling 56 MW. 
  • Represented a solar developer in an upsizing of its development facility for early-stage solar projects located in California. 
  • Represented a solar developer in its tax equity financing and permanent loan financing for three behind-the-meter solar projects in California. 
  • Represented a client in approximately $250+ million of tax equity financing for six utility-scale solar projects totaling over 400 MW. 
  • Represented the tax equity investor in the development and financing of two 100 MW solar projects in South Carolina, two 100 MW battery storage projects in Texas, and four 70-100 MW solar projects in North Carolina.  
  • Represented a U.S. mineral refiner in the financing of refinery facility, including with respect to Section 45X tax credits and qualified opportunity zones. 
  • Represented developer in $124 million debt financing secured by land leased to four separate solar projects. 
  • Represented developer in $338 million construction loan, tax equity bridge loan, and term loan financing for a 150MW solar project in Texas. 
  • Represented developer in $288 million construction loan, tax equity bridge loan, and term loan financing for a 200MW utility-scale solar project in Indiana. 
  • Represented developer in $105 million construction loan, tax equity bridge loan, and term loan financing for a 50MW solar project in California. 
  • Represented an independent power producer in $900 million construction financing for a Midwest gas-fired power plant. 
  • Represented an independent power producer in $390 million holdco-level financing, secured by nine U.S. operating plants. 
  • Represented a developer in $183 million holdco-level term loan for wind power generation assets. 
  • Represented a developer in $90 million and $42 million back leverage, term loan financing for wind projects. 
  • Represented a Canadian developer on $90 million CAD and $21 million USD back leverage financing. 
  • Represented a developer in $8.2 million construction loan, $4.6 million bridge loan, and $8.2 million back leverage term loan for community wind power project. 
  • Represented a developer in $6.5 million construction loan, $3.5 million bridge loan, and $6.5 million back leverage term loan for community wind project. 
  • Represented a developer in over $750 million of tax equity financing for multiple wind projects. 
  • Represented a tax equity investor in sale of $200 million tax equity interests in several wind projects.
