Overview

Jen helps clients build, grow, and evolve through two core areas of practice: complex mining project development and corporate M&A transactions. She advises mining companies on the development, construction, and operation of major projects and counsels manufacturing and clean energy businesses on mergers, acquisitions, and other strategic transactions.

Her path to private practice began with military service. After graduating from the United States Naval Academy, she served aboard the USS Green Bay (LPD 20), where she led sailors responsible for amphibious operations, satellite, navigation and communications equipment, and supported operations in deployed environments. She also served aboard the USS Jackson (LCS 6), where she led engineering operations and developed the technical perspective she now brings to complex energy and industrial projects. During her service, she also earned a master’s degree in environmental law and policy, laying the groundwork for her legal career.

That experience continues to shape her approach to client work, particularly her ability to operate in complex, technical environments and translate operational realities into practical legal solutions. Drawing on a longstanding interest in environmental and climate issues, she is passionate about helping clients advance projects that shape the future. She views the practice of law as a continuation of her commitment to service, bringing the discipline, work ethic, and mission-focused approach she developed in the Navy to every project. Clients value her dedication, responsiveness, and steady guidance in navigating challenges and achieving their goals.

Experience

Mining

  • Support the Energy & Natural Resources (mining) team on complex project development matters, including large-scale mine construction, permitting coordination, and commercial structuring.
  • Draft and negotiate key project agreements (e.g., master services agreements (MSAs), development agreements, contractor and services agreements) for mining clients.
  • Analyze and translate technical project information (e.g., equipment procurement, contractor mobilization, funding workflows) into legal frameworks and client-ready deliverables.
  • Coordinate across multidisciplinary teams (corporate, regulatory, environmental, and project finance) to support integrated mining transactions and project execution strategies.
  • Assist with client communications and project management, including gathering materials, synthesizing data, and advancing deliverables under tight deal timelines.
  • Contribute to mining industry-focused legal strategy, including risk allocation, operational oversight provisions, and environmental liability frameworks in commercial agreements.

Corporate/M&A

  • Draft and revise primary transaction documents, including stock purchase agreements, asset purchase agreements, merger agreements, and ancillary deal documents.
  • Lead and manage due diligence processes, including reviewing documents, identifying key risks, coordinating diligence requests, and preparing disclosure schedules.
  • Prepare and organize transaction closing deliverables, including closing checklists, resolutions, and execution documents.
  • Analyze and advise on core deal economics and risk allocation, including indemnification structures, working capital adjustments, and related provisions.
  • Review and respond to opposing counsel's drafts and comments, supporting negotiation strategy and issue-spotting.
  • Support regulatory aspects of transactions, including exposure to HSR Act filings, Committee on Foreign Investment in the United States (CFIUS) considerations, and related approval processes.
  • Contribute to broader corporate matters, including governance, commercial contracts, and client advisory work tied to transaction execution.
Outside the Office

Outside the office, Jen enjoys spending time with her family—both two-legged and four-legged—including her husband, Tim, daughter Nolan, Belle the cat, Rudy the rescued medical research Beagle, and Bodhi, a fluffy Rottweiler-Husky mix with plenty of personality. She’s happiest outdoors with them, whether exploring, relaxing, or simply enjoying time together. Jen also loves reading and keeping up with the latest true crime series across just about every streaming platform.

Community Leadership

After leaving active duty service in the United States Navy, Jen has served in the Navy Reserves since 2018. She currently works with Military Sealift Command, where she focuses on military logistics and moving cargo by sea.
