Overview

Jeff has experience guiding complex financial transactions for both lenders and borrowers.

Jeff works on behalf of clients such as regional banks, strategizing to accommodate borrower objectives during transactions while never compromising a financial institution’s own priorities and obligations. Clients appreciate his insight guiding transactions from both the borrower’s and lender’s side on matters such as mergers and acquisitions, workouts and other complex negotiations.

In addition to his financial practice, his experience includes counseling individuals, startups and large businesses. Jeff has assisted a wide range of professionals across industries including software developers in the technology sector, architects and engineers in real estate and construction, negotiating purchases and sales for healthcare and manufacturing clients, and handling compliance issues for labor and employment clients.

As a litigator, Jeff has also represented clients in general trial, appellate, mediation and arbitration, with cases including contract disputes, corporate, banking, fiduciary duty, officer and director liability, commercial, trademarks and trade dress, construction, property casualty, and collections matters.

  • Represented borrower in complex $2.5 million management buyout of existing company.
  • Represented minority shareholder in $3.1 million dispute concerning corporate control and rights of first refusal.
  • Discovered and investigated self-dealing and breaches of fiduciary duty by one member of closely held company. Negotiated control of company and expulsion of malfeasant member.
  • Negotiated financing, asset purchase and membership interest redemption for software developer.
  • Represented nonprofit in complex leasing transaction.
  • Helped numerous entrepreneurs and startups organize new businesses and obtain adequate capital from seed to bridge funding.
Outside the Office

Jeff’s favorite activity is spending time with his grandkids. You’ll find toys, including a three-story Barbie townhouse, scattered in his playroom. He’s also an amateur photographer. And he plays mandolin and guitar, often outside, hopefully not annoying his neighbors.

Community Leadership

Jeff has an extensive pro bono practice, providing litigation and counsel to individuals and charitable groups. He’s also active in his church community and serves on the board of the Well Community, a nonprofit organization providing services for those with chronic and severe mental illness.
