Overview

With broad experience in transactional work, as well as time in-house at a solar energy company, Jacob assists clients with energy project development, construction, and transactional matters.

Jacob has extensive experience representing clients in connection with critical corporate and real property transactions. He regularly prepares and negotiates leases, purchase and sale agreements, distribution agreements, loan documents and other complex commercial agreements for a variety of renewable energy projects across the country. Known as an efficient and highly responsive attorney, Jacob is committed to getting clients accurate and timely answers while ensuring that their transactions stay on track.

His recent experience includes:

  • Representing a client in the sale of a company for more than $60 million;
  • Drafting amendments to and helping a client comply with a carry and earning agreement involving an investment of $300 million; and
  • Preparing all critical deal documents and handling negotiations for seller in connection with a $60 million carry and earning agreement for the development of oil and gas interests in North Dakota.

Jacob’s practice also includes assisting businesses with regulatory compliance and administrative matters involving land use and energy natural resources issues, such as permitting, zoning, environmental compliance, site remediation, and hazardous substances.

In addition to working in private practice, Jacob brings experience as in-house counsel, assisting with project financing and divestitures throughout the U.S. While the company concentrated heavily on solar projects, Jacob assisted with battery storage facility development as well. His time in-house taught him how crucial responsiveness is from outside counsel.  Jacob understands first-hand the value of an accessible attorney.

Experience
  • As in-house counsel to solar energy corporation, collaborated in the closing of transactions for solar project financing and divestitures exceeding $80 million throughout the United States.
  • Represented client in disposition of assets transaction, including negotiations, preparing purchase and sale agreement, due diligence, and drafting of ancillary agreements in sale of company for more than $60 million.
  • Drafted amendments to and helped client comply with a carry and earning agreement involving an investment of $300 million from a diversified holding company in exchange for a portion of seller's interest in productive and exploratory leasehold interests.
  • Prepared all critical deal documents and handled negotiations for seller in connection with a $60 million carry and earning agreement for the development of oil and gas interests in North Dakota.
  • Served as lead associate in the purchase of a $5 million commercial space leased to NASDAQ-listed coffee company.
Outside the Office

Jacob loves nature and can often be found hiking, exploring the trails of the nearby Minnesota River Valley, camping, or planning his next visit to a state or national park. Most of all, he enjoys spending time with his two young sons, who already love the outdoors themselves.

Community Leadership

Jacob places a high priority on pro bono work and has offered his legal services through the American Civil Liberties Union (ACLU) and the Minnesota Assistance Council for Veterans.
