Derek’s practice is focused on client growth.

Derek devotes much of his time to lender-side finance work, to commercial investment real estate transactions and as outside general counsel to operating companies. He counsels both financial institutions and non-bank lenders in a broad variety of projects, including real estate loans, commercial lending, agricultural lending, new market tax credits and other tax financing. In addition, Derek represents owners and developers of and investors in commercial real estate, overseeing a transaction’s full life cycle, from land acquisition through to disposition.

Derek also serves clients as a general resource for company legal needs, often quarterbacking outside general counsel needs for various manufacturers, distributors and contractors. He aims to facilitate these companies’ growth and frequently assists with succession planning and discussions of transitions of ownership.

Derek’s priority for clients is growth through investment, and he has the experience to help clients grow in all market conditions. He began his career in the 2009 recession and has worked in all market conditions and assisted with all transactional needs.

Known among clients as an ultra-responsive attorney, Derek prioritizes client communication. He’s also built a strong reputation for an excellent business sense that helps him limit clients’ risk without inhibiting deals. Clients equally appreciate his talent for connecting them with business opportunities, helping them create and realize growth.

Experience

Corporate Finance

  • Represent national and regional financial institutions in large syndicated, participated and single bank construction, acquisition and refinance loan transactions for commercial real estate properties across the United States.
  • Served as exclusive counsel to publicly traded national financial institution to document all middle market C&I and CRE loan amendments as a result of the COVID-19 pandemic.
  • Represent lender in full refinance and redocumentation of revolving credit line increases and term loans for cash out refinance.
  • Represent lender in financing arrangement for shareholder recapitalization secured by multiple properties in different states across the United States.
  • Represent administrative agent in club deal with revolving and term lines of credit.
  • Represent national bank in preparation of commercial and consumer loan documents for Wisconsin-based transactions, advise on PPP Loan and Main Street Lending Loan programs, and advise on national e-signature and e-notarization laws, applicability and best practices.
  • Represented global financial institution, as administrative agent, in a large secured finance facilities, including separate $300MM and $150MM revolving credit facilities to global manufacturers with cross-border complexities.
  • Represents Community Bank in facilitating national TIF loan program with developers and property owners to finance pay-go tax incremental financing entitlements to allow the otherwise future payment stream to be partially disbursed up-front, and secured by payments over time. Over a 12-month period, closed approximately 30 such transactions, with each loan between $1-5 million.

Commercial Real Estate Development and Finance

  • Represent national waterpark developers in acquisition, development, and re-development of waterpark resort hotel facilities across the United States.
  • Represented a professional football team in negotiating and documenting one of the largest stadium naming rights deals in the nation, as well as in acquiring land for the development of the team's headquarters and practice facility.
  • Represent lender in construction loan to large national developer, facilitating new six-story, ~100,000 sq ft commercial office building in Tempe, Arizona.
  • Represented global financial institution's family office as lender in 9-property portfolio refinance for veterinary clinic properties located in California, Texas, Kansas, Missouri and Arkansas to allow cash liquidity event for owner.
  • Represented administrative agents in syndicated construction loans to national developers with sophisticated private equity partners for many ground-up and rehabilitative construction projections.
  • Represented national developers and portfolio investors in construction, development, acquisition and management for hundreds of millions in project value annually.
Outside the Office

Derek is serious about meat and flames.

He barbecues competitively on the Kansas City Barbeque Society (KCBS) circuit in the Midwest and in other non-sanctioned competitions. He is also a founding board member of the Wisconsin BBQ Posse Inc., a 501(c)(3) nonprofit organization that publicizes food sport, fosters partnerships and mentors novice competitors.

Alongside his day job, Derek is also a frequent investor in investment real estate on a personal level and co-owns a small business manufacturing company in Crivitz, Wisconsin. He’s excited to play a hands-on role in these worlds himself, and he enjoys having an opportunity to walk in clients’ shoes.
