Michael Brandess will present, "Distressed M&A: UCC Sales v. 363 Sales," for the Illinois Institute for Continuing Legal Education.
Michael focuses on sales of distressed businesses as going concerns and contrast the benefits and drawbacks of out-of-court UCC Article 9 sales and in-court Section 363 sales. The panel will reflect on their experience with insolvency and restructuring to explain the need for collaborative and diverse teams when these matters, regardless of the type of sale utilized, and cover essential topics such as stalking horse bidders, successor liabilities, closing and post-closing issues, and navigating foreclosures.
