Overview

Tammy is a paralegal who has extensive experience working with major law firms, corporations, lending institutions and various federal, state and local government agencies.

Drawing on her vast knowledge of corporate matters, Tammy plays an essential role in communicating with clients and managing and coordinating all aspects of complex corporate transactions. She assists attorneys in preparing documents for corporate matters such as domestic and foreign  incorporations, mergers, conversions, dissolutions and annual maintenance filings. Tammy also has substantial knowledge of filings and searches related to Revised Article 9 of the Uniform Commercial Code (UCC), Internal Revenue Service filings and New York Stock Exchange filings.

Tammy’s knowledge and experience in registration and filing with the U.S. Securities and Exchange Commission (SEC) range from initial registration or conversion to electronic filer, to transacting and coordinating complicated financial statements to the SEC.

Additionally, Tammy has developed a protocol for tracking and managing more than 400 corporate entities in the various states the compliance requirements for corporate good standing.

Tammy is frequently involved in the following matters:

  • Managing and organizing documents and closing books in connection with complicated corporate transactions involving mergers and acquisitions, and various lenders.
  • Conducting due diligence investigations, including UCC/SEC searches and summaries, drafting memoranda, and preparing all organizational consents and certificates.
  • Handling corporate special projects, including not-for profit assignments and 501(c)(3) and charitable registration filings.
