Overview

A former government attorney with significant private practice experience, Sam advises companies and organizations working with the public sector.

Located in the firm’s Milwaukee office but with 15+ years of experience living and working in Washington, Sam brings a deep understanding of the federal contracting environment to clients across the country—many of which are based outside the Beltway. He regularly handles contract negotiations and disputes, bid protests, and a wide range of regulatory compliance issues.

Sam represents companies that work with the federal government, with a particular focus on contractors and subcontractors based in the Midwest. Sam is especially experienced with mergers and acquisitions involving government contracts, including those with national security considerations. He is also highly knowledgeable about federal grant compliance and is well-placed to assist not only traditional government contractors, but also those—often in the healthcare, nonprofit, and education sectors—that are navigating the requirements of federal financial assistance.

Prior to joining Husch Blackwell, Sam was an attorney advisor with the USAID Office of General Counsel, where he worked directly with contracting and agreement officers worldwide, primarily on the award and administration of food, health, and logistics contracts. Prior to his stint in the government, Sam worked in the government contracts practice groups of large DC law firms for almost a decade, often representing major defense contractors and private equity firms.

Sam is a graduate of the George Washington University Law School, where he participated in the school’s renowned government contracts law program.  He is actively engaged in the government contracts legal community and speaks and writes regularly on procurement law topics. In addition to his experience, clients value Sam’s responsiveness and attention to detail, knowing matters will be managed thoroughly from start to finish. Sam also has a reputation for providing clear, practical information so that clients can fully assess risks and make informed decisions for their businesses.

  • Advised numerous Midwest-based manufacturers on Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) requirements associated with Defense Logistics Agency (DLA) purchase orders, including cybersecurity, domestic preferences, and export control restrictions. Negotiated subcontract terms with major component supplier for $100M+ Department of Defense contract.
  • Represented vending machine contractor in debarment proceedings related to Army & Air Force Exchange Service (AAFES) contracts, resulting in immediate removal of corporate affiliate from the list of suspended and debarred entities in the System for Award Management (SAM) based on present responsibility.
  • On behalf of small business concerns, including woman-owned and 8(a) firms, drafted and negotiated U.S. Small Business Administration (SBA) mentor-protégé agreements, joint venture agreements, and scopes of work for small business set-aside subcontracts. Advised banking client concerning SBA "recertification" and task order set aside rules in conjunction with small business investment.
  • Served as an attorney in the USAID Office of the General Counsel focused on federal contracting and grants, including supporting the $16B NextGen Supply Chain suite of logistics contracts. Designed organizational conflict of interest (OCI) mitigation and preclusion policies, advised on procurement design and source selection procedures, and reviewed solicitation packages.
  • Served as the primary attorney supporting the USAID counterterrorism vetting program and performed temporary duty assignments at U.S. Embassies in Afghanistan, Bangladesh, Georgia, and Armenia. Maintained top secret (TS/SCI) security clearance.
  • Assisted subcontractors in analyzing, preparing, submitting, and negotiating requests for equitable adjustment and certified "pass through" claims related to issues arising under Department of the Navy shipbuilding contract and Department of Veteran Affairs hospital construction contract.
  • Served as government contracts counsel on mergers and acquisitions involving private equity investments in government contractors, which included negotiating representations and certifications, processing novation agreements, and conducting diligence. Assisted on major industry transactions, including a client's $5B acquisition of a top-5 defense contractor's information technology business.
Outside the Office

Sam enjoys time with his family, as well as volunteering with his children’s school and sports teams. An avid traveler, he names his favorite personal trip as a visit to South Africa and Lesotho, and his favorite destinations during his USAID travels as Armenia and the Republic of Georgia.

Sam also values staying active. He plays ice hockey every Sunday night, is a runner and cross-country skier, and enjoys backpacking trips.

Community Leadership

Sam serves on the school commission for his daughter’s elementary school and coaches his son’s ice hockey team. He is also vice chairman of the municipal bicycle and pedestrian planning committee in his local area.
