Overview

Marlene is a senior paralegal who understands client business needs.

Marlene’s extensive legal knowledge is rooted in her experiences working as a corporate paralegal in-house and at a law firm.  Those experiences, along with her Master of Business Administration degree, provide her a unique perspective when understanding and addressing client needs. Her attention to detail and organizational skills allow her to efficiently help clients accomplish their goals.

Marlene assists attorneys and clients with drafting and reviewing contracts and agreements; and creating, maintaining and managing data bases.  She also provides substantive support relating to joint ventures, affiliations, acquisitions and mergers, including gathering due diligence, preparing ancillary documents, maintaining checklists, and handling closing and post-closing items and issues.

  • Handled corporate governance and maintenance of 160 domestic and foreign legal entities for a Fortune 500 U.S. Company, including updating directors and officers, overseeing annual report filings, submitting stock exchange filings, preparing resolutions and updating electronic copies of legal minute books and corporate subsidiary listing.
  • Drafted and reviewed intercompany and third-party contracts and agreements.
  • Managed large volumes of documents and agreements of Fortune 500 U.S. Company related to various business functions and needs.
  • Assisted Fortune 500 U.S. Company with mergers, acquisitions and divestures including the $3 billion sale of two multiple manufacturing arms that comprised operations.
Outside the Office

Marlene and her husband, Steve have two very active sons who are involved in school and club sports including soccer, swimming and basketball.  When Marlene is not watching and driving them to and from games and practices, she enjoys watching college sports, reading and tackling her many organizational projects.
