Lucas is a corporate attorney counseling those in the energy sector – including renewable wind and solar farms – on their most critical transactions. Renewable energy project sponsors are among the clients who value Lucas’ eye for detail in handling end-to-end transactions. As part of the Energy & Natural Resources team, Lucas guides clients on:

Experience
  • Represented special purpose acquisition company Northern Genesis Acquisition Corp. in its de-SPAC merger into a subsidiary of The Lion Electric Company, a manufacturer of all-electric medium and heavy-duty urban vehicles.
  • Represented special purpose acquisition company Northern Genesis Acquisition Corp. II in its de-SPAC PIPE financing and business combination with Embark Trucks Inc., an autonomous trucking software company.
  • Advised special committee of board of directors of various clients in acquisition or sale of energy-related projects, including petroleum production plants and renewable energy facilities.
  • Leading team's corporate local counsel work for a global green energy company in connection with the world's largest renewable energy storage hub, located in Utah, which will produce utility-scale green hydrogen from renewable energy sources, store the hydrogen in underground salt dome caverns, and deliver the hydrogen to a 840 MW hydrogen-capable gas turbine combined cycle power plant that will eventually run on 100% green hydrogen by 2045.
  • Assisted renewable energy fund in $43 million acquisition of a portfolio of operational renewable energy projects capable of producing 18.2 MW.
  • Worked on several joint venture and joint development agreements for clients, including in the textiles and natural resource extraction industries.
  • Represented clients and served as transaction leader in numerous buy-side and sell-side merger/acquisition transactions in industries, including renewable energy, agricultural, financial services and manufacturing.
  • Counseled the ownership group of a professional sports organization on a restructuring of its subsidiaries.
  • Assisted a national self-storage client in completing its roll-up mergers with several recently acquired competitors.
  • Represented national minerals production company as lead associate in an approximately $45 million investment in a fire retardant manufacturing company.
  • Represented national sewer sanitation and maintenance company as lead associate in an approximately $28 million strategic acquisition of a competing business.
  • Represented bank client as lead associate in its strategic acquisition of an established broker dealer specializing in public finance underwriting.
Outside the Office

Lucas and his wife enjoy traveling the world. At home, he cheers on the Iowa Hawkeyes and follows the Arsenal Football Club.

Community Leadership

Lucas has donated his time, talents and legal skills to numerous nonprofits.

Lucas has volunteered with several nonprofits – such as soup kitchens, community gardens and housing repair organizations that keep families in their homes. Lucas also works with nonprofits in an advisory role on a pro bono basis – advising them on volunteer waivers, nonprofit status, board functions and other critical elements that help these organizations continue to help others.
