Overview

Colleen is a senior paralegal who concentrates her work in the areas of corporate governance and compliance; securities; domestic and international mergers, acquisitions and joint ventures; and general corporate transactions.

Colleen has extensive experience working with publicly traded companies, large law firms, lending institutions and various international, federal, state and local government agencies.

Colleen assists attorneys with domestic and international entity creation, governance, compliance, due diligence and contract administration. She plays an essential role in communicating with clients and in managing and coordinating all aspects of complex corporate transactions. Colleen prepares domestic and foreign corporate filings such as incorporations, mergers, conversions and dissolutions. She also drafts corporate contracts and has substantial knowledge of corporate governance issues.

Colleen’s representative matters and experience include:

  • Attended board of director and various committee meetings in support of the corporate secretarial function. Regularly drafted resolutions and meeting minutes, maintained official records of meeting minutes and corporate minute books, and assisted with the preparation and completion of required SEC filings.
  • Facilitated the compliance committee of a publicly traded company on behalf of the general counsel and communicated activities with the audit committee, including regular interaction with independent auditors and the company’s internal audit department.
  • Supported a publicly traded Fortune 500 company in the creation and maintenance of more than 200 domestic and international subsidiaries, branches and representative offices in more than 64 countries, with primary responsibility for developing and maintaining a corporate database housing all corporate data.
  • Developed corporate policies and procedures related to subsidiary management best practices for domestic and international units. Implemented approved changes by selecting the appropriate software, designing the new database, managing the data conversion, structuring access to the data based on security protocols and training individual users.
  • Managed due diligence in several large acquisitions pertaining to the acquisition and/or divestiture of natural gas assets, real property and corporate entities.
  • Worked in a coordinated effort with municipal departments in San Antonio to facilitate environmental compliance in the operation and expansion of the utility industry.
