Brianna assists clients with transactional, securities and corporate governance matters.

Brianna views herself first and foremost as a problem-solver: she joined the legal industry partly out of her passion for solving problems, and her goal is not only to ensure that transactions close on time and that clients remain in compliance with the law, but also to help clients advance and improve their businesses.

At Husch Blackwell, Brianna assists with mergers, acquisitions and other corporate transactions, including the preparation of documents and coordination of closings in connection with asset acquisitions, stock purchases and mergers. She also performs due diligence, especially in connection with private equity and merger and acquisition transactions, and assists with venture capital investments and financings, including the sale and issuance of securities and preparation of related securities filings. In addition, Brianna supports clients in corporate governance matters and general business questions, including formation, organization and ongoing maintenance for various types of business entities.

In a prior role, Brianna regularly attended client board meetings as acting secretary, an experience that gave her an inside view of business operations and taught her the importance of understanding each client’s unique situation. She knows how crucial it is for outside counsel to listen and learn a client’s business model, ensuring that legal solutions and assistance fit business needs and advance business goals.

  • Assist with transaction closings and conduct due diligence.
  • Draft corporate documents including resolutions, consents, agreements, certificates and merger documents; maintain corporate records and complete state forms and filings.
  • Prepared documentation related to private investment fund entities (including federal and state corporate filings and federal tax registrations), Regulation D and related U.S. federal and state securities ("Blue Sky") research and compliance, application filings, subscription agreements, subscription agreement tracking for private investment fund offerings.
  • Completed UCC filings.
  • Prepared and filed Wisconsin Chapter 128 petitions, affidavits and proposed orders.
  • Negotiated discounted settlements with creditors for unsecured debts, including credit cards, personal loans, student loans and business debt.
  • Drafted and reviewed real estate contracts and countered offers.
Outside the Office

Brianna jokes that with an elementary-aged son and her own full-time enrollment in school, she doesn’t really have any hobbies beyond driving her son to activities and studying. When she has time, though, she enjoys running and pickle ball.

Community Leadership

Brianna values pro bono service and has volunteered with both the Milwaukee Justice Center Family Law Forms Clinic, helping self-represented individuals complete forms required in family court, and the Sojourner Peace Center, assisting with Project Vault, which allowed domestic abuse survivors to access the courts and legal services virtually during covid-related closures.
