Overview

Brianna is a versatile legal professional with a unique blend of experience in transactional law, securities regulations, corporate governance, and financial services licensing. Her holistic approach to legal support positions her as a dedicated problem-solver who not only ensures compliance but also empowers clients to elevate their businesses.

Brianna views herself first and foremost as a problem-solver: she joined the legal industry partly out of her passion for solving problems, and her goal is not only to ensure that transactions close on time and that clients remain in compliance with the law, but also to help clients advance and improve their businesses.

At Husch Blackwell, Brianna assists with mergers, acquisitions and other corporate transactions, including the preparation of documents and coordination of closings in connection with asset acquisitions, stock purchases and mergers. She also performs due diligence, especially in connection with private equity and merger and acquisition transactions, and assists with venture capital investments and financings, including the sale and issuance of securities and preparation of related securities filings. In addition, Brianna supports clients in corporate governance matters and general business questions, including formation, organization and ongoing maintenance for various types of business entities.

Brianna also assists clients with financial services licensing, guiding clients through the complexities of obtaining and maintaining the necessary state and federal licenses for their financial operations.  Her support empowers clients to establish and sustain compliant licensing frameworks, whether for single licenses or comprehensive multi-state strategies.

In a prior role, Brianna regularly attended client board meetings as acting secretary, an experience that gave her an inside view of business operations and taught her the importance of understanding each client’s unique situation. She knows how crucial it is for outside counsel to listen and learn a client’s business model, ensuring that legal solutions and assistance fit business needs and advance business goals.
