$929 Million Transaction Expands AMC’s Presence across Northern Europe

Husch Blackwell represented AMC Entertainment Holdings, Inc. (AMC) in its announced $929 million acquisition of Nordic Cinema Group Holding AB. Based in Stockholm, Nordic operates 68 theatres with 463 screens and approximately 68,000 seats in nearly 50 large and medium-sized cities across northern Europe. Nordic’s theaters rank first in market share across multiple European markets, including Sweden, Finland, Estonia, Latvia and Lithuania. Together with 50 theaters in which Nordic holds a substantial minority investment, the combination with Nordic will further strengthen AMC’s current position of being the largest cinema operator in the world.

AMC purchased Nordic in an all-cash transaction from private equity firm Bridgepoint and Sweden-based media group Bonnier Holding. The transaction is subject to an antitrust clearance review by the European Commission; regulatory approval is expected in the first half of 2017.
