Yinka advocates for clients in complex transactional financial legal matters.

Yinka assists clients with end-to-end real estate–secured transactions. Working with lenders and borrowers, she guides a wide variety of complex financing, structuring, purchases and sales, and joint venture agreements. Yinka assists large and small clients across sectors that include hospitality, retail, restaurants, multifamily and mixed-use developments, office buildings, and emerging startups. Projects she handles include U.S. Department of Housing and Urban Development (HUD) matters.

Clients appreciate Yinka’s background as corporate counsel for a commercial real estate investment company and her resulting understanding of business demands. She also served as primary counsel for an independent movie production facility, from acquisition to studio licensing.

Yinka first studied law in Nigeria and practiced as a litigator. She’s a keen observer and a strategic thinker who spots opportunities and trends, and communicates them clearly to clients.

  • Represented local bank in financing of development of +1696 acres of undeveloped property.
  • Counseled local bank in refinancing of approximately 72-acre residential lot development.
  • Assisted various local developers with development of "greenfield" properties into mixed use properties.
  • Represented joint venture of multiple opportunity funds, two real estate investment trusts (REITs) and four high-net worth syndications in: (a) termination of 370,545 square-foot warehouse/distribution facility lease in Massachusetts; (b) concurrent multimillion dollar sale of facility to national auto parts retailer; and (c) negotiation of right of first offer for retailer's subsequent purchase of adjacent 5.6-acre undeveloped property.
  • Counseled international opportunity fund in joint venture with local asset manager with purchase and financing of office building in premier location in Los Angeles.
  • Guided investor syndication sponsored by California-based operator with acquisition and financing of historic movie studio and counseled syndication with respect to various matters pertaining to studio.
  • Advised international opportunity fund with refinancing of 236-room hotel in Florida.
  • Counseled international opportunity fund in joint venture with local asset manager with acquisition of three multifamily residential properties in Northern California.
  • Represented international investment fund with acquisition and restructuring of almost $1 billion in distressed loans (mortgage, mezzanine and participation interests) secured by variety of real property.
  • Advised joint venture of two international opportunity funds and asset manager on construction financing, loan modifications and sale of commercial property in Southern California.
  • Counseled international investment fund with acquisition of multimillion dollar distressed debt secured by local landmark property.
  • Represented international investment fund in joint venture with local developer regarding acquisition and multimillion dollar construction financing of Southern California property for development into residential condominiums.

  • Counseled client on matters regarding its restaurants sector such as acquisition, leasing, financing, construction, architect, franchisor requirements and management contracts for various restaurant portfolios.
  • Advised real estate company with multimillion dollar HUD refinancing and equity restructure of multistate portfolio of multifamily properties.
  • Represented emerging company with preparation of various agreements including private placement memoranda, subscription agreements and side letter agreements for various multimillion capital raise from both individual and institutional investors for various capital projects.
  • Represented emerging company with preparation of web disclaimers and compliance with securities regulation laws regarding, inter alia, qualified purchaser regulations.
Outside the Office

Yinka enjoys traveling to new places. She spends much of her free time in Dallas doting on her two rescue dogs, Hilda, a terrier mix mutt, and Maxwell, a Maltipoo. She is also taking swimming lessons.

Community Leadership

Yinka has taken on a number of significant pro bono case including:

  • Representing business clients in structuring, and preparing incorporation and other general corporate documents.
  • Guiding client in fundraising matter.
  • Assisting victims of domestic violence with applications for temporary restraining orders.
  • Advising international client regarding relationship between domestic U.S. entity and its Chinese and Indian counterparts.
  • Representing client with negotiation of memorandum of understanding with collaborator and lease for office space regarding said collaboration.
