Scott assists clients with lending and other credit-related matters.

He handles credit financing reviews and has negotiated and documented all varieties of debt financing, including asset-based and commercial loans; new market tax credit financing; letter of credit facilities; mezzanine and second-lien loan involving almost every type of collateral; equipment leasing; syndicated loan facilities and other types of credit financing and loan workouts. His food and agribusiness projects have included:

  • Representing agricultural cooperative in a $550 million secured loan.
  • Representing an agricultural cooperative in a $20 million development generating New Market Tax Credits.
  • Representing lender in $85 million funding of grocery store chain.

Scott also represents lessors and lessees in large equipment leases involving rail cars, barges, trucks and trailers and medical equipment.

Experience
  • Advised CorEnergy Infrastructure Trust Inc. during purchase of a $228 million liquids gathering system near Pinedale, Wyo., where one of the top five natural gas fields in the United States is located.
  • Advised an agricultural cooperative as borrower in a $550 million multiple tranche security credit facility.
  • Represented Arcady Capital, a private equity investment firm, in $6.5 million leveraged buyout of Mountain Molding LLC, a plastic injection molding company.
  • Advised agriculture cooperative in a $20 million development that generated NMTCs.
  • Represented agent bank in $120 million credit facility that included a revolving line of credit, multiple term loans and a capital expenditure line of credit.
  • Counsel for B12 Capital Partners and four other private equity funds in forming a new entity that completed a $15 million acquisition of Arrow Material Handling Products, which sells attachments and replacement parts for forklifts.
  • Represented Glentel Inc., a publicly traded Canadian company, in the expansion of its U.S. cell-phone holdings. In an $83.3 million transaction, Glentel purchased Automotive Technologies Inc., which is headquartered in Middletown, Conn., and operates Wireless Zone, a 428-store franchise system that sells Verizon Wireless products and services in 28 states.
  • Represented lender in $6 million commercial and industrial loan.
  • Counsel for lender in acquisition loan facility that included a $3 million asset-based line of credit and a $7 million term loan.
  • Represented lessors and lessees in financing leases of railcars, barges, tractor/trailers and medical equipment.
