Mary is a corporate attorney whose experience includes mergers and acquisitions, corporate governance, securities and commercial transactions.

She regularly assists clients with corporate governance matters, acquisitions, critical agreements and other general corporate matters.

Mary’s experience includes supporting Fortune 500 and other publicly traded companies by drafting and negotiating various commercial agreements, including licensing, purchase, software as a service (SaaS), supply, technology, joint venture, capital lease, and other agreements.  She has represented companies in transactions with leading software and technology companies. She also counsels clients on due diligence matters.

Prior to joining Husch Blackwell, Mary was in-house counsel at several major publicly traded companies. Her responsibilities and accomplishments included:

  • Negotiating and drafting contracts relating to the manufacture and sale to companies and to government entities or purchase of goods, services, information technology and utilities.
  • Counseling on regulatory, product related environmental, health and safety, immigration, risk management and credit matters.
  • Preparing and negotiating construction, maintenance and operating agreements for manufacturing sites.
  • Lead or key attorney on multi-million dollar acquisitions and divestitures of businesses and assets, including the creation and spin-off to shareholders of a subsidiary of a publicly traded company, and venture capital investments.  
  • Assisting with the preparation of filings and resolutions relating to corporate governance, securities and financing matters, including annual securities filings and stock dividends.
  • Supporting implementation of a corporate-wide contract management system.
