Real Estate

  • Advised regional continuum of care provider in sale of tenant in common (TIC) interests in multiple locations to facilitate market expansion and new project development. Negotiated and drafted purchase agreements, 1031 compliant TIC agreements and noncompetition agreements.
  • Represented several commercial landlords in purchase, leasing and sale of commercial properties.
  • Counseled clients relating to development of condominiums. Drafted all declarations, disclosures, bylaws, and rules and regulations.
  • Advised multiple clients relating to 1031 exchange of real property.


  • Advised multiple closely held companies in acquisition of target companies including negotiation and drafting of stock purchase agreements, asset purchase agreements, noncompetition agreements and employment agreements.
  • Counseled regional client in negotiation and drafting of "stalking horse" purchase agreement for health care facility subject to chapter 128 plan.
  • Advised client in acquisition of ophthalmology practice and surgical center.
  • Represented clients in formation of new business entities and startups.

Outside the Office

He and his wife, Shira, enjoy travel, culinary experiences and time on the magnificent lakes of Madison. JP enjoys biking, kayaking and any game his young son is in the mood to play.
