  • Represented Market Fresh Produce, a leader in the produce industry with a "Farm to Fork" strategy, in its recapitalization.
  • Represented buyer in its acquisition of a Mountain States-based craft brewery with annual production in excess of 65,000 barrels and distribution in over 30 states.
  • Represented a regional grocery store in its acquisition of a retail grocery store in Bismarck, North Dakota and its sale of two retail grocery stores to Nash Finch Company.
  • Represented SunOpta Inc. in the $44 million acquisition of Dahlgren & Company, Inc. a sunflower seed processor and supplier located in Crookston, Minnesota.
  • Represented a natural beverage company in connection with a multi-tranche $16 million Series A financing with a global distributor and a private equity investor.
  • Represented a French vineyard owner and winemaker in its distribution to the United States.
  • Represented a celebrity chef in her wine production, marketing and distribution.
  • Represented Bruce Lee Beverage in its development, production and distribution of beverage products.

Manufacturing

  • Represented trustee to ESOP in connection with its purchase of 100% of the outstanding shares of a sealant and caulking compound manufacturer.
  • Represented Viking Engineering & Development in the sale of its assets to Palletec, LLC.
  • Represented Altius Manufacturing Group, LLC in its acquisition of Viking Incorporated, a leader in the automated wood fastening industry.

  • Represented Service Management Group, a global leader in customer experience measurement, in connection with an investment by Ridgemont Equity Partners.
  • Represented Service Management Group in its acquisition of Nashville-based Catalyst Healthcare Research.
  • Represented TCG International, Inc. and eleven of its affiliated auto glass repair and replacement companies in the sale of their assets to Mondofix Inc.
  • Represented KCUMB Credit Union in its merger with CommunityAmerica Credit Union.
  • Represented an emerging medical diagnostic company on general corporate and financing matters.
  • Representing a retail pharmacy and its affiliate in acquisitions, divestitures and ongoing operations.

  • Represented a U.S. entity in its strategic ownership of land assets and farming operations in Brazil.

  • Representing D3MAX, LLC, a technology company that has licensed and is developing patented corn fiber-to-ethanol technology, in its development and financing.
  • Represented NuGen Energy, LLC in its acquisition and financing of a 100 mgy ethanol production facility in Marion, South Dakota.
  • Represented Producers’ Choice Soy Energy, LLC in connection with the registration of its $6 million intrastate securities offering with the Missouri Securities Division.
  • Represented Prairie Pride, Inc. in its development and capitalization of a combination soybean crush and 30 mgy biodiesel facility.
