Overview

Jill is a senior paralegal who assists attorneys primarily with corporate matters, mergers and acquisitions, and securities.

Jill has experience with all aspects of business organizations, including formations and incorporations, mergers, conversions, foreign registrations and dissolutions. She maintains ownership structures and databases for a real estate investment trust (REIT) listed with the New York Stock Exchange that owns an extensive portfolio of commercial properties, primarily shopping centers. Jill assists attorneys and clients with complex corporate and commercial real estate transactions, including property acquisitions, joint ventures and financings.

Jill is responsible for Section 16(a) beneficial ownership reporting compliance with the Securities and Exchange Commission for company insiders and directors and maintains ownership schedules for executives and directors. She also assists with the administration of a stock incentive plan for company executives and employees and works closely with the transfer agent and registrar for the issuance and cancellation of shares for more than 300 restricted stock accounts.

Jill assists clients with the preparation of resolutions and minutes for board of director meetings and executive committee and compensation committee meetings. She also onitors stock acquisitions and activity in an employee stock purchase program and a dividend reinvestment plan.

Jill’s representative matters have included:

  • Initial public offering of common stock: Assisted with due diligence reviews of real estate and corporate documents, reorganization of business entities and ownership interests, multistate mergers, qualifications and registrations.
  • Acquisition of portfolio of 21 regional malls and two affiliated shopping centers:  Assisted with all corporate matters, including due diligence reviews, business reorganizations and transfers of ownership interests.
  • Acquisition of two portfolios of regional malls and office buildings representing client investment of more than $1.4 billion: Assisted with all corporate matters, including due diligence reviews, business reorganizations and transfers of ownership interests
