Eric combines deep insights into tax law with practical experience on a range of corporate transactions to help clients negotiate and close value-enhancing deals.

Eric routinely advises buyers and sellers on a variety of transactions, including stock purchases, asset sales, mergers, joint ventures, divestitures, and reorganizations. He taps into his background in tax law to help clients understand at the earliest stages of a transaction how to integrate tax concerns into their deal calculus in order to create or preserve deal value.

Eric also acts as outside general counsel to closely held private companies at every stage of the corporate life cycle. He advises owners and corporate officers on a range of general corporate matters, including formation, capitalization and funding, shareholder and governance matters, commercial agreements and contracts, tax, and change-of-control scenarios.

Additionally, Eric works closely with his clients’ professional advisors and consultants, as well as his Husch Blackwell colleagues, to implement business succession planning, particularly when such plans involve the sale of part or all of a business operation.

Prior to entering private practice, Eric served as a law clerk in the Tax Division of the U.S. Attorney’s Office in San Francisco, where he assisted in a variety of civil and criminal tax matters. Since 2018, he has served as an adjunct professor at the University of San Diego School of Law, where he teaches a section in Partnership Tax. Eric was named to the 2022 Best Lawyers in America: Ones to Watch list for Tax Law.

Outside the Office

Eric’s time outside of the office is devoted his time to his wife and growing family.  He also enjoys his passions for horses, golf, and music.
