As a member of the firm’s Financial Services & Capital Markets industry team, Doug applies more than 13 years of overall transactional experience to the business goals of his clients as they pursue tax credit financing. He has represented investors on more than $200 million in projects involving state and federal historic tax credits and New Markets Tax Credits.

Doug also counsels and advises New York Stock Exchange and Nasdaq-listed companies regarding securities compliance and corporate governance matters under federal and state securities laws, including the Securities Exchange Act of 1934, the Securities Act of 1933 and the Sarbanes-Oxley Act of 2002. Doug’s legal knowledge is enhanced by his prior experience as a certified public accountant and a certified internal auditor.

Doug’s recent accomplishments involved these projects:

  • $19 million in financing for the development of a commercial banking facility in St. Paul, Minn.
  • $164 million in tax-credit financing for the rehabilitation of an historic building into retail, hotel and loft apartments in St. Louis, Mo.
  • $27.05 million in financing for the development of a manufacturing facility for biomass-based biodegradable polymers.

Doug also represents public and private companies in mergers and acquisitions, securities compliance and corporate governance matters and issues related to closely held businesses and commercial transactions. He works with management of these companies, including more than $1 billion of acquisitions, divestitures and corporate restructurings, with emphasis in the manufacturing, construction and energy sectors. Additionally, he represents and advises companies with respect to various organizational, commercial and transaction related agreements.

Experience

  • Advised on $19 million financing for the development of a commercial banking facility in St. Paul, Minn.
  • Represented client on financing of $164 million for the rehabilitation of a historic building in St. Louis, Mo., into retail, hotel and loft apartments. Project took advantage of New Markets Tax Credits, historic tax credits and Brownfield tax credits.
  • Counseled on $27.05 million financing for the development of a manufacturing facility for biomass-based biodegradable polymers.
  • Represented the community development subsidiary of a Fortune 150 national bank as an investor in the following tax-credit transactions:
    • $76.5 million rehabilitation of historic buildings into retail, hotel and apartments.
    • $45 million modernization and upgrading of a commercial dairy facility. 
    • $19 million development of a commercial baking facility.
  • Represented a Nasdaq-listed company in connection with its $17 million participation in the U.S. Treasury Department's Troubled Asset Relief Program, Capital Purchase Program and all of the related securities filing.
  • Counseled a New York Stock Exchange-listed company in the $330 million sale of its natural gas distribution assets.
  • Represented a Fortune 150 multinational company in the restructuring of one of its largest manufacturing subsidiaries.
