As a member of the firm’s Financial Services & Capital Markets industry team, Doug applies more than 13 years of overall transactional experience to the business goals of his clients as they pursue tax credit financing. He has represented investors on more than $200 million in projects involving state and federal historic tax credits and New Markets Tax Credits.
Doug also counsels and advises New York Stock Exchange and Nasdaq-listed companies regarding securities compliance and corporate governance matters under federal and state securities laws, including the Securities Exchange Act of 1934, the Securities Act of 1933 and the Sarbanes-Oxley Act of 2002. Doug’s legal knowledge is enhanced by his prior experience as a certified public accountant and a certified internal auditor.
Doug’s recent accomplishments involved these projects:
- $19 million in financing for the development of a commercial banking facility in St. Paul, Minn.
- $164 million in tax-credit financing for the rehabilitation of an historic building into retail, hotel and loft apartments in St. Louis, Mo.
- $27.05 million in financing for the development of a manufacturing facility for biomass-based biodegradable polymers.
Doug also represents public and private companies in mergers and acquisitions, securities compliance and corporate governance matters and issues related to closely held businesses and commercial transactions. He works with management of these companies, including more than $1 billion of acquisitions, divestitures and corporate restructurings, with emphasis in the manufacturing, construction and energy sectors. Additionally, he represents and advises companies with respect to various organizational, commercial and transaction related agreements.
