An accomplished corporate tax attorney and former accountant, Christopher brings clients a broad perspective on complex tax issues.

As a corporate tax attorney, Christopher offers clients a unique and especially extensive view of legal tax issues. He has worked for two Big Four accounting firms, practicing in the areas of corporate tax, international tax, and mergers and acquisitions, specifically providing tax guidance for transactions with Fortune 100 multinational clients. His perspective of the ever-changing tax landscape includes overhauls of U.S. and international corporate tax codes (BREXIT, 2016 Tax Cuts and Jobs Act [TCJA], and CARES Act). Christopher also represented the state in criminal and civil litigation pertaining to tax fraud and tax evasion matters as Assistant Circuit Attorney in the White-Collar Crime Unit of the St. Louis Circuit Attorney’s Office (CAO).

The foundation of Christopher’s legal tax knowledge is based in his years serving as an accountant and tax analyst for a global process controls manufacturer. Christopher has also held externships with the U.S. Bankruptcy Court, Western District of Missouri, and U.S. Tax Court.

Asset and Share Sales, Purchases and Reorganizations

  • Assisted multinational publicly held Illinois-based biopharmaceutical company in 2020 sale of its U.S.-based subsidiaries in internal restructuring valued at ~$17 million.
  • Assisted large Illinois-based safety certification company in 2019 purchase of renewable energy company valued at ~$17 million.
  • Assisted California-based Fortune 50 entertainment company in its 2019 purchase of intellectual property from another California-based entertainment company valued at ~$70 billion.
  • Assisted publicly held Illinois-based Fortune 500 agricultural and construction machinery manufacturer in its 2018 purchase of outstanding common shares from its international subsidiary, publicly held German-based manufacturer of machinery products valued at ~$60 million.
  • Represented multinational publicly held Illinois-based Fortune 200 fast food company in its 2017 corporate reorganization of its international business and related assets, with total transaction tax savings valued at ~$350 million.

International Tax, M&A, Reorganizations

  • Managed tax due diligence to determine federal and state tax ramifications of $2B divestiture of ~2,000 real estate properties within restaurant franchise portfolio; counseled external purchaser for 6 months post-sale.
  • Obtained favorable IRS Private Letter Ruling (9100 Relief) to establish reasonable cause for corporation to be recognized as an S-corporation retroactive 5 years, resulting in tax valued at ~$85K.
  • Prepared responses to and managed Information Document Request IRS audit examinations including Sarbanes-Oxley (SOX) compliance.
  • Advised companies on public and private acquisitions, dispositions and joint ventures, including tax-free reorganizations and like-kind exchanges.
  • Counseled clients on tax structurings and negotiations of structured finance transactions, including issues regarding U.S. Trade or Business determinations and U.S. withholding tax, and other U.S. inbound and outbound international business transactions.
  • Drafted and reviewed technical memorandums, tax opinions, and other agreements advising on the optimal structure of transactions to limit international and domestic tax liabilities related to mergers and acquisitions transactions.

Accounting/Tax Analysis

  • As interim controller for global instrumentation company conducted financial forecasting, created monthly sales and bookings reports, analyzed budget and closed quarter-end accounting.
  • As accounting financial analyst for global process controls manufacturer, built data-based models and financial dashboards to monitor progress of market share, market industry analysis, macroeconomic trends and microeconomic trends.
Outside the Office

Christopher’s imagination is boundless.

When not spending time with his daughter or building Lego cars, Christopher enjoys storytelling through a variety of ways. Whether it’s developing crime thrillers and dramedy scripts for television and film, or writing chapters of books, he continues his childhood hobby of using words to paint his imaginations onto paper.

Community Leadership

A lifelong learner, Christopher is passionate about sharing financial knowledge with the next generation.

Even while pursuing his own education, Christopher served as an educator to his communities, including serving as a low-income taxpayer educator and an Urban League tutor. Christopher has taught financial and managerial accounting at the University of Cincinnati, and taught finance at University of Missouri’s Trulaske College of Business. He currently serves as an Adjunct Associate Professor of Law, University of Missouri, where he teaches corporate taxation.
