Overview

As a transactional attorney in private practice and former general counsel of a mid-market corporation, Carlos provides legal counsel and advice from a 360-degree perspective.

Carlos assists businesses – from startups to mature companies – on a multitude of general corporate as well as franchising and distribution matters.

With respect to the Franchise & Distribution practice, Carlos advises clients on virtually all transactional and regulatory aspects of franchising. Carlos has helped clients create dozens of franchise programs and strategic transactions and partnerships domestically and internationally, including franchise and distribution networks in the following sectors: restaurants and food service; hotel and hospitality; real estate and senior assisted living; healthcare and wellness; business and computer services; manufacturing; transportation and logistics; and social dating and matchmaking. In addition to his franchise practice, Carlos represents a wide range of clients on general corporate matters, legally-compliant joint venture arrangements, raising capital, mergers & acquisitions, and other strategic transactions.

Carlos is passionate about tapping the talent of startups and small business owners in distressed communities by closing the information gap through speaking engagements and economic development initiatives.   • Represented multi-billion dollar hotel company in restructuring U.S. franchise program and establishing franchise program in Mexico.
  • Represented multi-billion hotel/hospitality company in establishing franchise and distribution networks in Australia, Barbados, Singapore, Russia and Thailand.
  • Represented international real estate company in establishing distribution network in China.

Corporate, Private Equity and M&A

  • Served as lead franchise counsel on $650M sale of oil services company.
  • Represented management team of consumer product company in connection with $1B private equity transaction.
  • Represented multi-billion dollar company in sale of restaurant concept to San Francisco–based private equity firm.

Operations

  • As in house counsel, oversaw workforce expansions from 110 to 600 employees, total revenues from $80M to nearly $400M, and customer count from 5,700 to 25,000+ in two-year period.
  • As in-house counsel, developed customer-driven automation processes allowing customers to obtain certain compliance reports and documentation about company's infrastructure while protecting confidentiality of such reports and documentation.
  • As in-house counsel, trained sales staff on company's customer-related agreements.

In his free time, Carlos enjoys studying 20th century U.S. and sports history as well as traveling.

Community Leadership

Carlos is passionate about economic development in emerging and overlooked communities.

In addition to being a former board member on the Southern Dallas Development Corporation (SDDC), Carlos is regularly involved in initiatives that support growth in emerging and overlooked communities. He’s continually excited by the power and talent of these small business owners – and he enjoys supporting their vision through mentoring, making connections and reducing the informational gap during speaking engagements. Carlos also mentors young people in collaboration with Big Brothers/Big Sisters.
