Whether it be assisting with multi-million dollar real estate funds or advising clients as they navigate reporting company disclosure issues, Brandon has delivered creative solutions for numerous clients in the real estate, renewable energy and manufacturing industries. Clients appreciate his experience in fund formation, joint ventures, capital raising, and federal and state securities law compliance to overcome crucial challenges. He has worked on both national and international levels and brings his passion for problem solving to every step of the transactional process.

Brandon regularly advises real estate fund sponsors, developers and investors at all stages of a deal, including structuring funds and joint ventures, raising capital and acquiring real estate assets. As a securities practitioner, Brandon supports companies with securities compliance, disclosure and corporate governance matters under federal and state securities laws, including the Securities Exchange Act of 1934 and the Securities Act of 1933.

No matter what his project, Brandon works diligently to help clients succeed and achieve their broader goals, endeavoring to become a trusted advisor and valued team player in the process.

  • Advised sponsors targeting over $1 billion in equity in private real estate fund offerings to institutional, family office and high-net-worth investors to fund acquisition and development of real estate projects in retail, mixed-use and farmland asset classes.
  • Counseled numerous developers, real estate operators and investors in negotiating terms of joint venture transactions and agreements for acquisition and development of real estate projects in industrial asset classes valued at over $100 million.
  • Served on legal team that represented developers of one of the world's largest dairy waste biogas projects, including in conventional equity and debt financing.
  • Advised clients on formation of new business entities and startups, as well as recapitalization and reorganization of small enterprises to achieve ideal tax and governance outcomes.
  • Advised public companies in more than $100 million in debt financings.
  • Served on legal team that advised public company client on $7.5 million PIPE offering.
  • Served on legal team that advised SPAC client on securities issues related to acquisition and merger of international target company.
  • During COVID-19, assisted public company clients in deft transitions to virtual annual stockholder meetings, including for one client changing to a virtual meeting one week prior to the scheduled meeting date.
Outside the Office

Brandon takes the cake.

Following in the footsteps of his mother, who is a baker of wedding cakes, Brandon has entered – and won – numerous baking contests, usually with his cheesecake recipe. He also cooks an award-winning chili.

In sports, Brandon enjoyed being part of the “strike force” for his Division I college basketball team, working with the academic coordinator to tutor and assist the team. He made lifelong friends, some of whom he now cheers on as they play NBA ball for teams such as the Detroit Pistons.

Community Leadership

Through the University of Michigan Law School, Brandon donated his time and skills to the Street Law Program, which teaches community members – including inmates – their legal rights and remedies. The program collaborates with organizations such as county detention centers and domestic violence shelters. Brandon especially valued sharing legal knowledge with former inmates transitioning back into society.
