Arooj’s practice focuses on corporate governance and M&A, where she represents public and private companies as well as private equity firms in a variety of domestic and cross-border transactions and internal reorganizations.
Arooj has drafted and reviewed buy- and sell-side mergers, divestitures and acquisitions for domestic and international clients. This includes dispositions, carve-outs, joint ventures and other direct investments, such as debt and equity offerings. She has assisted private equity funds with making portfolio equity investments in broad range of businesses, with particular focus on industrial manufacturing facilities and technology-enabled service businesses.
She has also assisted privately held companies with negotiating the sale or minority ownership stake of their companies to strategic buyers, industry consolidators and private equity firms. She has assisted publicly held companies acquire strategic target companies, as well as negotiate commercial third-party agreements.
Arooj routinely advises national and international clients in major internal restructuring transactions, including initiatives to unwind subsidiaries or otherwise rationalize complex corporate structures. She has also drafted and negotiated commercial contracts for clients in various business sectors, including licenses, equipment leases, independent contractor agreements, and sales and services agreements.
