Arooj has experience in a broad range of domestic and cross-border merger and acquisition transactions.

Arooj's legal background in domestic and cross-border merger and acquisition transactions includes dispositions, carve-outs, joint ventures and other direct investments.

Before joining Husch Blackwell, Arooj interned for the Hon. Brian C. Wimes of the U.S. District Court, Western District of Missouri, and the Hon. Thomas H. Newton of the Missouri Court of Appeals, Western District, where she gained extensive experience in complex civil litigation cases.

Mergers and Acquistions

  • Advised Algonquin Power & Utilities Corp. on forming $608 million joint venture with Abengoa, S.A., of Spain for international development and construction of clean energy and water infrastructure assets.
  • Drafted and reviewed buy- and sell-side mergers, divestitures, asset acquisitions, and debt and equity offerings for domestic and international clients.
  • Assisted privately held companies with negotiating sale or minority ownership stake of their companies to strategic buyers, industry consolidators and/or private equity firms.
  • Prepared corporate restructuring documentation for multinational energy and regulated utility conglomerate on ongoing basis.
  • Assisted publicly held companies acquire strategic target companies by merger/acquisition.

Corporate Governance

  • Assisted private equity firm with corporate matters for portfolio companies, including preparation of minutes, resolutions, and formation and continuation of all subsidiaries.
  • Advised private and public companies on corporate governance, compliance with Securities and Exchange Commission (SEC) rules and reporting requirements.
  • Assisted private equity funds with making portfolio equity investments in broad range of businesses, with particular focus on industrial manufacturing facilities and technology-enabled service businesses.
  • Counseled publicly held companies on merger/acquisition-related securities law compliance issues.
Outside the Office

Arooj likes to explore faraway destinations and, at home, enjoys cooking and spending time with her family.

She has traveled to Italy, France, Switzerland and the U.K., and vacationed in Bora Bora. On her travels, Arooj enjoys exploring, hiking and trying new cuisines. She even swam with sharks in the Pacific Ocean.

At home, Arooj and her husband are foodies, so she loves to experiment with new recipes. She spends much of her personal time with her young son.

Community Leadership

Arooj co-founded a domestic abuse charity and represents pro bono clients.

Arooj helped establish the nonprofit entity Breathe Hope Inc, an organization that assists domestic abuse victims in finding work, shelter and support. She strongly believes in the organization’s mission and has served on the board of directors since its inception in 2018.

In addition, she represents pro bono clients in Missouri courts to assure that a legal guardian is appointed for either a child or an adult who does not have the capacity to make decisions. Arooj also provides legal assistance to organizations wanting to create nonprofit documentation and stay in compliance with nonprofit rules.
