Corporate

  • Represented buyers in sale of two divisions of publicly owned company, including negotiating transaction, advising on obtaining financing and assisting in negotiating relationships with outside investors.
  • Represented printing company in sophisticated asset purchase sale that included complex recapitalization and mezzanine debt restructuring.
  • Represented company and sole shareholder in $110 million debt/equity recapitalization transaction to provide capital to begin new greenfield manufacturing operation.
  • Represented real estate owner and related operating company in $35 million sale leaseback of high-tech manufacturing facility.
  • Provided financial, tax and structural analysis related to potential sale of large logistics company and its related real estate entities to private equity and real estate investment trust (REIT) buyers.
  • Represented target entity in resolving significant tax issue discovered in due diligence process of related-party sale by two nonprofit owners, including providing complex damages forecasting and tax analysis, as well as obtaining resolutions with Internal Revenue Service (IRS), affected employees and parent entities involved in transaction, allowing for underlying transaction to close successfully.
  • Represented 501(c)(3) charitable organization obtain favorable private letter ruling from the IRS, resulting in $3.5 million refund for charitable organization.
  • Represent various dental and veterinary practices in sale and purchase of practices.

Employee Benefits & Executive Compensation

  • Designed, drafted, amended and counseled on compensation plans for senior executives, including deferred compensation plans, phantom stock plans, stock appreciation rights plans, management incentive plans and stock option plans.
  • Provided guidance on 280G and 409A implications, particularly in context of mergers and acquisitions.
  • Negotiated employment agreement terms, including complex bonus structures, severance rights and non-competition agreements.
  • Guided impact to benefit plans in mergers and acquisitions, including plan terminations, plan spinoffs, plan mergers and COBRA obligations.

Associated Banc-Corp

Long-time client Associated Banc-Corp approached our team in late March 2020 regarding the potential sale of Associated Benefits & Risk Consulting (ABRC). We had assisted Associated in building the unit over the previous decade, having worked on numerous acquisitions that turned ABRC into the 36th largest broker of U.S. business providing employee benefits, retirement plans, compliance, business insurance, risk management and individual insurance solutions. When the time came for Associated to monetize that investment, our team had the deep knowledge of the business needed to make things happen.

Outside the Office

Andrew is a busy dad and outdoorsman.

Andrew and his wife have three small children, the youngest born in early 2020. He and his family enjoy bird hunting, camping and hiking.
