Andrea concentrates her practice in corporate and business law, focusing particularly in the areas of commercial contracting, business transactions, corporate governance and securities.

Andrea also practices in the area of estate planning, assisting clients with preparing wills, healthcare powers and general powers of attorney and developing succession plans for businesses.

She advises clients throughout a business’s life-cycle, from incorporation/organization to dissolution and with expanding their businesses through mergers and acquisition (M&A). Andrea counsels clients during M&A transactions, including guiding clients through difficult diligence and post-closing issues. Over her career, she has assisted with closing numerous multimillion dollar M&A transactions for both private and public clients.

Andrea also devotes a significant amount of her practice to representing clients in commercial contracting matters. She negotiates contracts for clients (both sellers and purchasers) in the airlines, manufacturing and technology industries. Such contract types vary, including contracts for the procurement of off-the-shelf and custom goods, vendors and suppliers, software, software as a service (SaaS), consultant services and professional services.

Finally, Andrea provides guidance to clients on corporate governance and securities matters. She advises private companies trying to raise capital through private placements, including Regulation D offerings and compliance with Blue Sky laws. She also works with companies to prepare and file periodic filings with the Securities and Exchange Commission.
