Tori focuses her practice on securities, corporate governance, compliance and general corporate matters. She provides counsel to clients on public and private securities matters, including regulatory and disclosure obligations under the Securities Exchange Act of 1934 and stock exchange listing requirements, primary and secondary securities offerings, private placements of debt and equity securities and other capital markets transactions. Tori advises companies, their officers and boards of directors on corporate governance compliance and best practices and other global corporate compliance matters. She also assists public and private clients in connection with structuring, negotiating and completing domestic and international mergers, acquisitions, divestitures and strategic alliances. Additionally, Tori provides general corporate law and other legal advice to public and private clients.
Prior to joining the firm, Tori served as vice president and assistant general counsel for ACI Worldwide, Inc., a publicly-traded international electronic payments software company in Nebraska, from 2004 to 2011. At ACI, Tori was responsible for corporate compliance with applicable securities laws and exchange regulations, the company’s global equity compensation program and the company’s international corporate structure. She provided assistance and legal counsel to officers, directors and managers on strategic initiatives, mergers, acquisitions, divestitures, corporate governance matters, global corporate compliance and general corporate matters. She also designed, implemented and enforced policies and practices related to global compliance matters, including record retention, anti-bribery and anti-corruption, data privacy, software compliance and insider trading.
Prior to 2004, Tori was a partner at Baird Holm, LLP, where she practiced in the areas of securities, compliance, mergers and acquisitions and general corporate. She counseled both public and private companies on securities matters, corporate disclosure, corporate governance and capital markets transactions. Tori also advised clients on general intellectual property and technology issues.
