Matt leads the firm's Corporate, M&A and Securities practice group. He has 15 years of experience providing sophisticated legal counsel in mergers & acquisitions, general corporate matters and commercial transactions to clients across a range of industries. Matt’s practice is uniquely focused on managing and settling complex legal matters involving high stakes and emotionally driven business, contract, partnership and fiduciary duty issues.
Clients entrust Matt with complex mergers & acquisitions and joint venture transactions. From evaluation and due diligence through negotiation, closing and integration, he delivers strategic, cost-effective solutions that put business objectives first. Matt structures deals, conducts and manages due diligence, and drafts and negotiates non-disclosure, escrow, merger, stock and asset, joint venture, investors’ rights, indemnification and other strategic agreements.
Matt also counsels both mature and emerging companies in a broad range of general corporate matters, including choice of entity, organizational documents, capitalization, equity issuance, debt financing, corporate governance, general and commercial contracting, IP licensing, employment agreements, incentive plan arrangements, non-competes, reorganizations, cash calls, ownership disputes and deadlocks, succession plans, buy-sell agreements, dissolutions and liquidations. In addition, Matt counsels senior management and boards of directors on corporate governance matters, including drafting board scripts and resolutions, providing sage business advice during board meetings and advising officers and directors on fiduciary duties.
