Matt leads the firm's Corporate, M&A and Securities practice group. In addition to his leadership role, Matt represents closely held businesses and public companies of all sizes in corporate, transactional and securities matters. His general corporate practice is focused on advising clients with respect to organizational structure, governance, mergers and acquisitions, joint ventures, restructurings, general contracting, shareholder meetings, ownership disputes and deadlocks, buy-sell agreements and succession planning. He also provides counsel on day-to-day operational, business and legal issues.
In his securities work, Matt counsels clients on compliance with federal securities laws. He guides them in the preparation of documents for the following: public offerings; periodic reports, such as proxy statements and annual reports to shareholders; and Securities and Exchange Commission (SEC) filings for public companies, including Forms 10-K, 10-Q and 8-K, and filings for officers, directors and major shareholders of the reporting companies.
