Mike's primary focus is on business and corporate matters, real estate transactions and commercial financing.
Mike represents a range of small businesses and large corporations in all phases of operations including the purchase, sale and mergers of businesses and business assets; entity selection, formation and documentation requirements for all forms of businesses, including corporations, limited liability companies, partnerships and limited partnerships; contract drafts, review and negotiation; and counseling on daily operations and risk management issues.
He also represents developers and investors in all phases of real estate acquisition, ownership, development and disposition. He assists in the design and creation of real estate entities, property owners’ associations, subdivision restrictions, easements, acquisition and construction financing, procurement of economic development and tax incentives (TIF, TDD, CID and NIDs) and tax-free exchanges (including Section 1031 and 1033 exchanges).
In conjunction with his business and real estate practices, Mike represents lenders and borrowers in procuring acquisition and construction loans, letters of credit, lines of credit and operating loans.
With significant experience in the litigation arena (both business and personal injury litigation), Mike counsels his business and real estate clients in pre-litigation dispute resolution, negotiation and avoidance.
